Voting by proxy
To vote by proxy, please complete and sign the enclosed Proxy Form and return by the time and in

If the Chair is appointed as your proxy and you have not specified the way the Chair is to vote on
Resolutions 1, 6, 7, 8, 9 or 10, by signing and returning the Proxy Form (including via an online facility),

directly or indirectly with the remuneration of a member of key management personnel.

the Directors’ report, the Remuneration Report and the auditor’s report.
The Company will not provide a hard copy of the Company’s annual financial
report to Shareholders unless specifically requested to do so. The Company’s
annual financial report is available on its website at www.bannermanenergy.com.
Shareholders will be provided with a reasonable opportunity to ask questions or
make statements in relation to these reports or the management of the Company.
The Company’s auditor, Ernst & Young, will be present at the Meeting and
Shareholders will have an opportunity to ask the auditor questions in relation to
the conduct of the audit, the Auditor’s Report, the Company’s accounting
policies, and the independence of the auditor.
The auditor will also respond to written questions on the content of the Auditor’s
Report or the conduct of the audit of the annual financial report of the Company
for the financial year ended 30 June 2026 provided these are submitted to the
Company no later than five business days prior to the Meeting.
There is no requirement for Shareholders to approve the Company’s annual
financial report.
1. RESOLUTION 1 – ADOPTION OF REMUNERATION REPORT
1.1 General
The Corporations Act requires that, at a listed company’s annual general
meeting, a resolution that the remuneration report be adopted must be put to
the shareholders. However, such a resolution is advisory only and does not bind
the company or the directors of the company.
The remuneration report sets out the company’s remuneration arrangements for
the directors and senior management of the company. The remuneration report
is part of the directors’ report contained in the annual financial report of the
company for a financial year.
The chair of the meeting must allow a reasonable opportunity for its shareholders
to ask questions about or make comments on the remuneration report at the
annual general meeting.
1.2 Voting consequences
A company is required to put to its shareholders a resolution proposing the calling
of another meeting of shareholders to consider the appointment of directors of
the company (Spill Resolution) if, at two consecutive annual general meetings, at
least 25% of the votes cast on a remuneration report resolution are voted against
adoption of the remuneration report and at the first of those annual general
8 2519-0525138518
meetings a Spill Resolution was not put to vote. If required, the Spill Resolution must
be put to vote at the second of those annual general meetings.
If more than 50% of votes cast are in favour of the Spill Resolution, the company
must convene a shareholder meeting (Spill Meeting) within 90 days of the second
annual general meeting.
All of the directors of the company who were in office when the directors' report
(as included in the company’s annual financial report for the most recent financial
year) was approved, other than the managing director of the company, will
cease to hold office immediately before the end of the Spill Meeting but may
stand for re-election at the Spill Meeting.
Following the Spill Meeting, those persons whose election or re-election as
directors of the company is approved will be the directors of the company.
1.3 Previous voting results
At the Company’s previous annual general meeting, the votes cast against the
remuneration report considered at that annual general meeting were less than
25%. Accordingly, the Spill Resolution is not relevant for this Annual General
Meeting.
1.4 Board Recommendation
The Board recommends that Shareholders vote in favour of the adoption of the
Remuneration Report.
2. RESOLUTION 2 – RE-ELECTION OF DIRECTOR – MR DANNY GOEMAN
2.1 General

Board to fill a casual vacancy holds office until the next annual general meeting
(being the Meeting) and is eligible for re-election.
Mr Danny Goeman was appointed as a Director by the Board on 3 March 2026 to
fill a casual vacancy.
If re-elected pursuant to Resolution 2, Mr Goeman will continue to serve for a
further term of up to three years or until the third AGM following his re-election, in
accordance with clause 15.2 of the Constitution.

September 2017 to August 2018.
9 2519-0525138518
Prior to Danakali, Mr Goeman spent 25 years with Rio Tinto in Australia and Asia,
and held several senior positions including, General Manager Sales & Marketing,
General Manager Industry Analysis, and Chief Price Negotiator Asia. Mr Goeman
was previously a non-executive director of RareX Ltd.
Since his appointment to the Board on 3 March 2026, Mr Goeman has contributed
significant leadership and strategic marketing expertise. Mr Goeman is chair of
the Product Offtake Committee, drawing on his extensive experience in offtake
strategy, portfolio optimisation and industry analysis.
The Company has undertaken the appropriate searches from government
authorities, none of which revealed any information of concern. Mr Goeman has
reconfirmed that he has sufficient time to meet his responsibilities as a Director of
Bannerman.
2.3 Independence
If re-elected, the Board will consider Mr Goeman to be an independent Director.
2.4 Board recommendation
The Board has reviewed Mr Goeman’s performance since his appointment to the
Board. It considers that Mr Goeman’s skills and experience will continue to
enhance the Board’s ability to perform its role. Accordingly, the Board (with Mr
Goeman abstaining) supports the re-election of Mr Goeman and recommends
that Shareholders vote in favour of Resolution 2.

Director) must not hold office (without re-election) past the third annual general
meeting following the director’s appointment or 3 years, whichever is longer.
Mr Brandon Munro, who has served as a Director since 2016, retires by rotation
and, being eligible, seeks re-election.
Mr Munro is Executive Chairman of the Company. He was previously the
